COMPANY2KEEP INC. (the "Company") provides certain services (the "Services") pursuant to the following terms and conditions (the "Terms").  Please review them carefully.  You acknowledge, understand and agree that your use of our Web site WWW.COMPANY2KEEP.COM (the "Site") and the Services provided to you are governed by these Terms which cannot be modified by you.  By accessing and using the Services, you agree that you have read and understand the Terms and that you agree to be bound by them, without limitation or qualification.  The Company may amend these Terms at any time without notice by posting amended Terms on the Site.  All amended Terms shall be immediately effective after they are posted on the Site.  The current version of the Terms can be viewed at any time by clicking on the "Terms of Use" hypertext link located at the bottom of the Site. Herein, the terms "We", "we", "Us", "us", "Our", and "our" refer to the Company.  "You", "you", and "Users" refers to users of our Site.  "Affiliates" refer to the Company's subsidiaries, affiliates, suppliers, licensors, information providers, content partners, each of their employees or agents, and any other person or entity involved in creating, producing, or distributing the Site or the Company's software.

You acknowledge, understand and agree with the following:

1.    DESCRIPTION OF SERVICES

The Company is a distributor (and not a publisher) of content supplied by third parties and by you.  The Company provides Users with access to a variety of resources, including download areas, communication forums and product information.  These resources may include e-mail services, bulletin board services, chat areas, forums, photo albums, file cabinets and/or other message or communication facilities designed to enable Users to communicate with others.  The Company has the right at any time to change or discontinue any aspect or feature of the Site, including, but not limited to, content, hours of availability, and equipment needed for access or use.

Any opinions, advice, statements, services, offers, or other information or content expressed or made available by third parties, including information providers or any other Users of the Site, are those of the respective author(s) or distributor(s) and not of the Company.  The Company neither endorses nor is responsible for the accuracy or reliability of any opinion, advice or statement made on the Site by anyone other than the Company's authorized spokespersons while acting in their official capacities. It is your responsibility to evaluate the accuracy, completeness or usefulness of any information, opinion, advice or other content available through the Site. Please seek the advice of professionals, as appropriate, regarding the evaluation of any specific information, opinion, advice or other content.

2.    USE OF SERVICES

You shall use the Site for lawful purposes only and in accordance with these Terms, including but not limited to, the rules set out below. Any conduct by a User that in the Company's discretion restricts or inhibits any other User from using or enjoying the Site will not be permitted.

For greater certainty, but without restricting the generality of the foregoing, you shall not:

A.    permit anyone other than you to access your account;
B.    attempt to log in more than once to your account at the same time;
C.    use the Services in connection with surveys, contests, pyramid schemes, chain letters, junk email, spamming or any duplicative or unsolicited messages (commercial or otherwise);
D.    upload, or otherwise make available, files that contain images, photographs, software or other material protected by intellectual property laws in any manner other than that set out in Section 4 - Proprietary Rights of the Contract for Service;
E.    use any material or information, including images or photographs, which are made available through the Services in any manner that contrary to what is set out in Section 4 - Proprietary Rights of the Contract for Service;
F.    falsify or delete any copyright management information, such as author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file;
G.    upload files that contain viruses, Trojan horses, worms, time bombs, cancelbots, corrupted files, or any other similar software or programs that may damage the operation of another's computer or property of another;
H.    restrict or inhibit any other user from using and enjoying the Services;
I.    harvest or otherwise collect information about others, including e-mail addresses;
J.    create a false identity for the purpose of misleading others;
K.    use, download or otherwise copy, or provide (whether or not for a fee) to a person or entity any directory of Users of the Services or other User or usage information or any portion thereof;
L.    solicit Users to become subscribers of other on-line information services competitive with the Company;
M.    defame, abuse, harass, stalk, threaten or otherwise violate the rights (including legal rights of privacy and publicity) of others;
N.    publish, post, transmit, upload, distribute or disseminate any inappropriate, profane, defamatory, obscene, indecent or unlawful topic, name, material or information;
O.    post or transmit through the Site any material which encourages conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any law; or
P.    use the Company or the Site to commit a crime, or to plan, encourage or help others commit a crime, including crimes relating to computers, or to violate any applicable laws or regulations.

3.    MONITORING

The Company has no obligation to monitor the Site, however, the Company reserves the right to review the content of the Site and the Services to determine compliance with these Terms and to satisfy any law, regulation or authorized government request. The Company has the right, but not the obligation, to edit, refuse to post, or remove any information or materials, in whole or in part, that the Company deems inappropriate for the Site for any reason.  The Company also reserves the right to disclose information it deems necessary to satisfy any applicable law, regulation, legal process or governmental request.

4.    EQUIPMENT

User is responsible for obtaining and maintaining all telephone, computer hardware, software and other equipment needed for access to and use of the Site and all charges related thereto.

5.    MEMBER ACCOUNT, PASSWORD, AND SECURITY

If any of the Services requires you to open an account, you must complete the registration process by (i) providing the Company with current, complete and accurate information as prompted by the applicable registration form, and (ii) choosing a password and user name. You are responsible for maintaining the confidentiality of your user name and password. Furthermore, you are responsible for any and all activities that occur under your account. You agree to notify the Company immediately of any unauthorized use of your account or any other breach of security. The Company will not be liable for any loss that you may incur as a result of someone else using your password or account, but you may be held liable for losses incurred by the Company or another party as a result of someone else using your account or password.  The Company reserves the right to, at any time, reclaim user names on behalf of businesses or individuals that hold legal claim or trademark on those user names.

6.    NOTICE SPECIFIC TO DOCUMENTS AVAILABLE ON THE SITE

Permission to use documents such as white papers, press releases, datasheets and FAQs from the Services is granted, provided that (1) any copyright notice appearing in the original document also appears in all copies of same,  (2) use of such documents from the Services is for informational, non-commercial or personal use only and will not be copied or posted on any network computer or broadcast in any media, and (3) no modifications are made to the documents. Accredited educational institutions, such as universities, private/public colleges, and state community colleges, may download and reproduce the documents for distribution in the classroom. Distribution outside the classroom requires express written permission.  Use for any other purpose is expressly prohibited by law, and may result in severe civil and criminal penalties.  Violators will be prosecuted to the maximum extent possible.

7.    LINKS TO THIRD PARTY SITES

THE LINKS ON THE SITE WILL LET USER LEAVE THE SITE. THE LINKED SITES ARE NOT UNDER THE CONTROL OF THE COMPANY AND THE COMPANY IS NOT RESPONSIBLE FOR THE CONTENTS OF ANY LINKED SITE OR ANY LINK CONTAINED IN A LINKED SITE, OR ANY CHANGES OR UPDATES TO SUCH SITES. THE COMPANY IS NOT RESPONSIBLE FOR WEBCASTING OR ANY OTHER FORM OF TRANSMISSION RECEIVED FROM ANY LINKED SITE. THE COMPANY IS PROVIDING THESE LINKS TO USER AS A CONVENIENCE ONLY, AND THE INCLUSION OF ANY LINK DOES NOT IMPLY ENDORSEMENT BY THE COMPANY OF THE LINKED SITE.

8.    LINKING TO THE SITE

You are permitted to include a link to the Site from your own Web site, however, you shall not frame or "mirror" the Site or incorporate pieces of it into your own Web site or any other Web site or product.  Moreover, you are prohibited from linking the Site to any Web site that creates or posts any illegal, obscene or offensive content, or any Web site that may in any way have a negative impact on the Company or the Site's reputation. The Company reserves the right to restrict the posting of links to the Site at its sole discretion.

9.     IDEA SUBMISSION POLICY

IF YOU SUBMIT YOUR IDEA(S) AND/OR MATERIALS TO THE COMPANY, THE COMPANY MAKES NO ASSURANCES THAT YOUR IDEAS AND MATERIALS WILL BE TREATED AS CONFIDENTIAL OR PROPRIETARY.
